Mainland or free zone: choosing a company structure
The first decision when setting up in the UAE — and the questions that actually determine the answer.

Setting up a company in the UAE starts with one decision: mainland or free zone. It shapes where you can trade, who can own the company, and which approvals you'll need.
What actually decides it
Three questions carry most of the weight:
- Where will you trade — with the local UAE market, internationally, or both?
- Who will own the company, and in what split?
- What is your activity, and which authority licenses it?
Neither option is "better" in the abstract. A consultancy serving international clients and a retailer selling to the local market will often land in different places.
Mainland, in short
A mainland licence lets you trade directly across the UAE market and take on a wider range of work. The activity and ownership details depend on your specific business.
Free zone, in short
Free zones are built around particular industries and offer a self-contained setup. Trading directly with the local market may involve an additional step.
